Terms & Conditions

 

This Contract sets out the standard conditions for the provision of the services to the exclusion of all other written or verbal representations, statements, understanding, negotiating, proposals or agreements. Except as expressly provided for in this contract no servant or agent of Global Internet Marketing Ltd (GIM ) has authority to agree any variation or addition to the contract, or to make any representation or to give any warranty whatsoever in this contract.

Definitions

'Advertisement' means the advertisement more particularly referred to overleaf.
'Artwork' means a material suitable for GIM's production purposes and containing the graphic, text, photographic content of an advertisement.
'Conditions' means these standard conditions.
'Contract' means a contract between the customer and GIM incorporating these conditions.
'Customer' means the person or company named overleaf as customer who wishes to have advertisements inserted onto the Web Site.
'Web Site' means the Web site into which GIM publishes and the customer wishes to have advertisements inserted into.
The customer expressly agrees to purchase the advertising set out overleaf with no deviation from the advertising as set out overleaf.

Cancellation

The customer shall not have the right to cancel this contract save for any statutory right or provided in provision 1. Provision 1. The company reserves the right to cancel this contract, without ascribing to give any reason and in this event the company will return any deposits or money paid by the customer. GIM has a policy of continuing product improvement and reserves the right to alter the specification and layout of the Web Site from time to time.

Materials

The customer shall supply GIM whenever appropriate such materials or inserts as may be required by GIM to construct and publish the advertisement. Such materials are to be of a quality suitable for GIM to use and to be delivered to a designated location in sufficient time to suit GIM's production requirements. GIM does not undertake to return any of the materials supplied by the customer.

Advertisement content

The customer shall comply with the conditions and statutes including any regulations or orders made thereunder and any other obligations imposed by law including by-laws applicable to the advertisement ( including but without limitation) The Trade Descriptions Act 1968, The Consumer Credit Act 1974, The Local Government ( miscellaneous provisions) Act 1976, The Surrogacy Arrangements Act 1985, the Financial Services Act 1986, The Telecommunications Apparatus (Advertisements) Order 1985. GIM shall not be obliged to publish any advertisement or any part thereof which it considers in its sole discretion to be contrary to or infringe the terms of any legislative provision or right of privilege of any person, or which might mislead members of the public, or which members of the public may find offensive, prejudicial or inflammatory or is likely to subject GIM to prosecution or criticism or embarrassment notwithstanding the existence of a contract between the customer and GIM.

Indemnification

The Customer shall keep GIM indemnified from and against all proceedings, claims, damages, fines, costs, expenses and charges taken or awarded against GIM arising out of or in connection with any advertisement including alleged or passing of misdescription, false trade description of goods and services offered error omission or infringement of copyright, trademark, service mark,design, right or privilege.
